1. Agreement to Terms
By accessing or using OptimAI ("the Service"), operated by thus(digital) Ltd, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
OptimAI provides AI-powered SEO analysis and reporting tools. The Service analyses web pages against target keywords and provides scoring, recommendations, and reports.
The Service is intended for professional use by businesses, agencies, and individuals using SEO tools in a commercial or professional capacity. It is not intended for personal, household, or non-business consumer use.
3. Account Registration
You must sign in using a Google or Microsoft account to use the Service. You are responsible for maintaining the security of your account. You must provide accurate information and keep your account details current.
4. Credits, Subscriptions and Payments
The Service operates on a credit-based system. Credits are purchased in advance and consumed when analyses are performed. Credits do not expire. All credit purchases are non-refundable except where required by law. If an analysis fails due to a system error, credits will be automatically refunded.
Partner subscriptions provide a monthly credit allowance and are billed monthly via Stripe. You may cancel at any time through the Stripe Customer Portal. On cancellation, billing stops at the end of the current billing period, your remaining credit balance is preserved, and your account reverts to Pro tier. Subscription fees already paid are non-refundable except where required by law.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorised access to the Service or its systems
- Use automated tools to scrape or bulk-access the Service beyond your purchased credits
- Resell access to the Service without a Pro or Partner account and a written agreement
- Interfere with or disrupt the Service
We reserve the right to suspend or block accounts that breach these acceptable-use terms, abuse the Service, attempt to circumvent rate limits or credit costs, or impose unreasonable load on our infrastructure. We will notify you by email at the address registered to your account and explain the reason. If you believe a block was made in error, you may request a review by emailing support@optimai.live or using the contact form on our help page.
6. Intellectual Property and Marketing
The Service, its original content, features, and functionality are owned by thus(digital) Ltd. Reports generated by the Service may be used, shared, and distributed by the account holder for business purposes, including white-label distribution under Pro and Partner accounts.
By using the Service, you grant thus(digital) Ltd a non-exclusive, royalty-free, worldwide licence to use your company name and logo to identify you as a customer of OptimAI in our marketing materials (for example, "used by [your company]" social proof on our website, decks, or pitches). You may opt out at any time by emailing support@optimai.live or using the contact form on our help page; opt-outs apply to future use and we will remove existing public references within a reasonable period.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described therein.
8. Communications
By using the Service, you consent to receive emails from us at the address registered to your account. These may include:
- Service operations: notice of new features, algorithm or scoring changes, scheduled maintenance, service outages, and security incidents.
- Account and billing: purchase confirmations, subscription renewals, billing failures, credit balance warnings.
- Acceptable use: notices of policy breaches, account suspension or unblocking decisions, and abuse warnings.
- Feedback and reviews: occasional invitations to provide feedback, participate in research, or share a testimonial. You can decline at any time.
You may unsubscribe from feedback and product-update emails at any time by emailing support@optimai.live or using the contact form on our help page. We do not recommend unsubscribing while you hold an active account, as you may miss important service announcements. Even if you unsubscribe from optional communications, we may still contact you about billing, security, abuse, suspension, or other matters required to operate the Service or comply with the law.
All formal contact will be made to the email address registered to your account. It is your responsibility to keep that address current and monitored.
9. Service Availability, Third-Party Dependencies and Force Majeure
The Service is provided "as is" and "as available" without warranties of any kind. SEO scores and recommendations are analytical tools; we do not guarantee specific search engine rankings, AI-engine citations, traffic levels, or business outcomes.
The Service depends on third-party providers including (without limitation) Google, Microsoft, Stripe, Supabase, Hetzner, search-engine APIs, AI platforms, performance providers, and SEO data providers. Data, scores, features, and availability that depend on these third parties are provided as-is and may change, degrade, or become unavailable without notice. We are not liable for outages, errors, data changes, pricing changes, deprecations, or policy changes caused by these third parties, nor for any consequence of your or our reliance on them.
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, labour disputes, internet or telecommunications outages, third-party service failures, cyber attacks, or pandemics ("force majeure events"). During a force majeure event, our obligations under these terms are suspended for the duration of the event and we will use reasonable efforts to restore the Service.
10. Limitation of Liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot legally be limited or excluded under English law.
Subject to the paragraph above, thus(digital) Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, nor for loss of profit, goodwill, business, or data, resulting from your use of the Service. Subject to the same paragraph, our total aggregate liability arising out of or in connection with these terms shall not exceed the amount you paid us (in credits, subscription fees, or otherwise) in the 12 months preceding the claim.
11. Termination
You may close your account at any time. For Partner subscriptions, cancellation is via the Stripe Customer Portal; billing stops at the end of the current billing period and your account reverts to Pro tier.
We may suspend or terminate your account immediately, with notice to your registered email address where reasonably practicable, if: (a) you materially breach these terms; (b) your use of the Service creates legal or reputational risk to thus(digital) Ltd or other users; (c) any payment due is not received within 7 days of the due date; or (d) you become insolvent or cease trading.
On termination: your access to the Service ends; any unused credits are forfeited where termination is for breach, and otherwise remain available subject to the Privacy Policy retention timelines; your account and analysis data are handled in line with our Privacy Policy; and any provisions of these terms which by their nature should survive termination (including IP, marketing licence, liability, and governing law) will continue to apply.
12. Insurance
thus(digital) Ltd maintains Professional Indemnity Insurance. Evidence of cover is available on request to support@optimai.live.
13. Changes to Terms
We reserve the right to modify these terms at any time. Material changes will be communicated via the Service or email. Continued use after changes constitutes acceptance.
14. Entire Agreement
These terms, together with the Privacy Policy, constitute the entire agreement between you and thus(digital) Ltd in relation to the Service and supersede all prior discussions, representations, or correspondence. No verbal statement, demo, sales discussion, or marketing communication forms part of these terms unless expressly incorporated by written agreement signed by thus(digital) Ltd.
15. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
